Terms of Service (ToS).
These terms govern all business relations between customers and SuDo IT-Solutions.
1. Scope of Agreement
These Terms of Service govern all IT consulting, support, managed services and related activities provided by SuDo IT-Solutions ("Provider") to its customers ("Customer").
Individual contracts, SLAs, AVAs or proposals override these ToS in case of conflict.
2. Formation of Contract
A contract is formed when:
– the customer accepts a proposal, or
– services are rendered and used.
Introductory consultations do not form a contract.
3. Service Scope & Modifications
The exact service scope is defined in an individual service contract or SLA.
Changes to the scope require written confirmation.
Additional services (e.g. urgent support outside service hours, projects, hardware acquisition, custom development) may be billed separately.
4. Customer Responsibilities
The customer shall:
– provide required access, data and information
– maintain the necessary technical environment
– ensure their systems do not violate any law
– notify the provider immediately in case of security incidents
Delays caused by missing cooperation may extend deadlines or incur additional costs.
5. Service Hours & Availability
Unless stated otherwise:
– Service hours: Monday–Friday 09:00–18:00 (CET)
– No guaranteed response times without SLA
Guaranteed availability requires a dedicated SLA.
6. Liability & Limitation
SuDo IT-Solutions is liable only for intentional or grossly negligent acts.
Excluded where legally permitted:
– indirect damages or loss of profit
– data loss without contracted backup services
– outages caused by third parties or force majeure
Liability is generally capped at three times the monthly contract value.
7. Data Protection & AVA
The provider processes personal data strictly in accordance with GDPR.
A Data Processing Agreement (AVA/DPA) will be concluded when legally required.
8. Acceptance
Services are deemed accepted when:
– the customer does not report defects within 7 days, or
– the service is used productively.
9. Payment Terms
Unless agreed otherwise:
– invoices are due upon receipt
– late fees and interest may apply
– payments are wire-transfer only
Individual terms may apply.
10. Term & Termination
Unless agreed otherwise:
– contract periods are defined individually
– termination requires 4 weeks' notice
– special termination applies to legal violations or non-payment
Services already performed remain payable.
11. Retention of Title & Intellectual Property
Hardware remains provider property until full payment.
Usage rights for software, scripts or custom work are granted only as defined.
12. Dispute Resolution
An amicable resolution is preferred.
For consumers:
– EU ODR platform available
– SuDo IT-Solutions does not participate in arbitration procedures.
13. Final Provisions
Changes require written form.
Invalid clauses do not affect overall validity.
Place of jurisdiction is Nuremberg, Germany, where permitted.
